Transactions Senior Counsel

**About this role**

The Transactions Senior Counsel is responsible for the delivery of outstanding transactional support services, including drafting and negotiation of complex commercial transactions, and providing risk assessment on key legal issues to senior leadership of DXC and its clients. This role will report directly to the Legal Director Latin America -supporting the AMS Transactions Team.

**What you'll do**:

- Structure, draft and negotiate complex client transactions in a fast-paced corporate environment on a broad range of contracts, including MSAs with new clients, SOWs, change orders, amendments, cloud agreements, data privacy agreements, RFPs, and agreements involving security, managed services, cloud, blockchain, automation, and systems integration within various industry groups.
- Identify risk and possible mitigations, ensure compliance with laws and client policies, negotiate contracts by leveraging commercial and market relevant positions.
- Advice on various aspects of applicable laws affecting multinational contracting, which may include data privacy, security, tax, ARD/TUPE, intellectual property.
- Continuously evolve as, a knowledgeable and relevant advisor on legal and commercial risks to the client.
- Embraces innovative legal delivery services solutions, including use of technology and process to improve effectiveness/efficiency of delivery of legal services.
- Provide advice and negotiation support in connection with a broad range of commercial transactions.
- Directly lead deal support for “new logo” / clients; provide ongoing account deal work that involves review and negotiation and interpretation of complex non-standard terms and conditions, including drafting, negotiating, legal research, account counseling and generation of deal-governance documentation.
- Provide mentorship, advice, training, and support to junior members.
- Participate in development of internal guidelines, playbooks, offerings, and other legal and business issues.
- Communicate effectively with a positive and confident attitude.

**Who you are**:

- Demonstrate excellent oral and written communication skills in English and ability to provide legal advice.
- 8+ years Transactional experience, with preference of some IT industry experience.
- Accomplished negotiator with an understanding of principle-based negotiation strategy and tactics including the ability to present alternatives with proposed solutions.
- Proven ability to efficiently manage a large volume of transactions independently.
