Associate General Counsel/Senior Associate Attorney, Remote Position **Contract**: hourly; part-time or full-time opportunities **Description**: Opportunity to do in-house counsel work across multiple clients with a well-established and growing international law firm while working fully remote. Join a unique practice group that serves as fractional in-house counsel to multiple digital, technology, ad tech, SAAS, marketing, and start-up clients. The General Counsel Services practice group at Sterlington PLLC is looking for an experienced commercial and employment law attorney. You will serve as outsourced general counsel to our clients who are assigned a "GC" and you will provide fractional in-house services to each General Counsel Services (GCS) client, including: Drafting, reviewing and negotiating commercial contracts including master service agreements, SOWs, NDAs, licensing agreements, supplier agreements, API agreements, TOS and other strategic agreements. Advising on employment law and HR matters, including, but not limited to recruiting; hiring; employee relations, including performance management and investigations; terminations; layoffs and reductions in force, leaves; employee disputes or discrimination claims and other employment-related matters.Reviewing and updating HR/employment law policies, handbooks, best practices, and training for clients.Drafting stock option plans, RSU plans or other employee equity or long-term incentive plans.Advising clients' internal teams in Marketing, Business Development, Creative, E-Commerce, IT, People & Culture, and Sales on a wide variety of legal topics.Reviewing and advising on DPAs and other issues relating to Data Privacy compliance under various data privacy laws in the US and internationally. - Providing ad hoc legal advice/counsel and working closely with clients and respective business units on general corporate matters. **Qualifications**: - 5 -10 years in-house counsel experience or in combination with an internationally/nationally recognized law firm. - Must be experienced being the primary client-facing attorney - Excellent legal skills, including significant experience in structuring, drafting, reviewing, and negotiating a variety of commercial technology agreements. - Experience in contract, corporate, employment (including equity compensation). - Data Privacy compliance experience a plus - Prior experience with digital companies, ad tech, mar tech or SAAS a plus - Must be able to handle multiple projects concurrently in fast paced environment, while juggling competing, time-sensitive demands. - Juris doctorate required. Member in good standing of at least one U.S. state bar (New York or California preferred). LLMs residing abroad who are licensed in a U.S. jurisdiction will be considered.
