We are seeking a highly motivated and detail-oriented Manager to join ourU.S. Mergers & Acquisitions (M&A) Tax team. This role is ideal for professionals with a strong background in finance, accounting, and taxation, who are passionate about supporting complex transactions and delivering strategic insights to clients. Lead the review and analysis of target company tax documentation (returns, working papers, financials, legal agreements). Identify U.S. tax considerations relevant to buy- or sell-side transactions. Oversee the preparation of tax due diligence reports and tax fact books. Collaborate with cross-functional teams to validate findings and align with transaction goals. Tax Structuring Analyze letters of intent and transaction documents to assess tax implications. Supervise the creation of transaction step decks in PowerPoint. Review and refine U.S. tax consequence summaries for each transaction step. Quantitative Analysis Guide the collection and summarization of tax data for modeling under U.S. tax rules. Oversee Excel-based input sheets and validate calculations using standardized templates. Ensure accuracy and consistency in quantitative outputs for client deliverables. Post-Transaction Integration & Computation Manage post-closing tax analyses and computations (e.g., Section 704(c), Section 382). Prioritize and deliver transaction-related computations and supporting documentation. Supervise the development of Excel-based models aligned with U.S. M&A Tax standards. Strategic Thinking – Ability to assess complex tax structures and align with transaction goals. Analytical Skills – Proficient in interpreting financial and tax data for modeling and decision-making. Project Management – Skilled in managing multiple engagements and delivering high-quality results. Leadership & Team Development – Experience mentoring junior staff and fostering a collaborative culture. Requirements: Bachelor’s Degree in Finance, Accounting, or Economics. Minimum 4 years of experience in Finance, Accounting, or Tax-related roles. Solid knowledge of fiscal and tax concepts. Familiarity with M&A processes and U.S. tax regulations is highly desirable. #J-18808-Ljbffr
