We are seeking a Corporate Legal & Compliance Manager. You will be responsible for overseeing legal and compliance matters across the company’s entities. This role ensures smooth governance, compliance with regulations, and strong inter-entity agreements while minimizing legal exposure and maintaining readiness for unforeseen challenges.
**Key Responsibilities**:
- ** Entity Management**:
- Establish and maintain corporate entities & fully operational companies across jurisdictions (researching the most suitable company type jurisdiction, finding the best services, and liaising with banks to open a bank account).
- Manage compliance and filings with local regulatory authorities.
- Ensure inter-entity relationships are properly documented and legally sound.
- ** Governance and Director Coordination**:
- Act as the primary liaison with local directors across entities.
- Handle verification and onboarding of directors in new entities.
- ** Legal and Risk Management**:
- Draft, review, and negotiate agreements between entities and external parties.
- Ensure our policies, terms, and conditions are accurate (on our sites and across contracts) and aligned with the latest regulatory requirements.
- Develop strategies to mitigate legal risks across all operational areas.
- ** Compliance Oversight**:
- Implement and monitor compliance programs for all entities, ensuring adherence to local and international laws.
- Prepare and submit compliance reports to relevant authorities.
- Keep up with regulatory changes and adapt company policies accordingly.
- ** Crisis Management**:
- Be prepared to act swiftly during incidents, blockage claims, dispute summons, and other third-party dispute correspondence that might be received.
- Develop protocols for managing crises with a focus on reducing legal and compliance stress.
- ** Inter-Entity Agreements and Documentation**:
- Draft agreements between our entities (e.g., shared services agreements, IP licensing, etc.).
- Maintain comprehensive records of all legal documentation, contracts, and agreements.
- Manage and update the company's WIKI regarding legal matters.
- ** Collaboration**:
- Work closely with internal departments (finance, HR, operations) to ensure cohesive legal and compliance support.
- Engage and manage external counsel for specialized legal matters.
**Qualifications**:
- Law degree and admission to practice law in at least one jurisdiction.
- Strong understanding of corporate law, contracts, and compliance frameworks.
- 3 years in a legal role, preferably in corporate law or a similar field.
- Experience with entity management, cross-border compliance, governance and remote business-mobile apps (subscriptions) is a strong plus.
