**Purpose statement**

Provides legal advice and counsel to Boston Scientific in a variety of areas, including: regulatory compliance, employment, product liability, contracts, securities, acquisitions and other areas as needed. Manages litigation and evaluates advisability and strategy of defending or prosecuting claims. Directs outside counsel's preparation of legal documents and handling of litigation. Represents the company in all non-patent related matters.

**What we are looking for in you**:

- With the support of regional counsel, acts as a trusted liaison to company business units in So. Cone and Perú helping them improve processes and collaborates in the development of presentations and training materials related to company policies and operating guidelines.
- Conducts research on projects as directed by supervisors. Provides legal advice and counsel to leadership addressing day-to-day requests and forecasted activities and projects.
- Supports audits, internal reviews and local investigations, and develops corrective actions associated with assigned areas of responsibility.
- Advises on business transactions, directly participating in the review, drafting and negotiation of a broad range of commercial agreements.
- Maintain and update contract management systems, including tracking key dates, renewals, and amendments.
- Provides training to employees on relevant legal/compliance topics.

**Key Responsibilities**
- Reviews, advises BSC on drafts, and approves contracts in a variety of areas, including supply/manufacturer, distribution, consulting, non-disclosure, real estate, research, clinical investigator, asset purchase, business acquisitions and mergers, and other areas as needed to ensure BSC's business interests are protected.
- Responsible for management of all aspects of non-patent litigation involving the company, working with and directing outside Counsel in developing comprehensive strategies around lawsuits.
- Reviews and approves all legal documents in BSC's non-patent litigation, including pleadings and motions, and directs outside counsel in preparing BSC witnesses for depositions.
- Negotiates settlements with claimants and represents the corporation during mediations.
- Reviews and approves all marketing programs, promotional pieces, and product literature and advises BSC on legal compliance issues involving marketing and sales. Advises human resources department on content and implementation of policies and procedures and on labor and employment matters.
- Provides legal counsel and support in acquisitions by the company, including conducting due diligence, assisting with FTC filings, advising on employment and benefits issues, facilitating transfer of legal responsibilities, assisting and advising on other acquisition-related issues as they arise, and directing outside counsel in assisting the company with acquisition issues as needed.
- Supervises exempt and nonexempt employees and manages employee's career counseling and evaluation of performance, including instituting discipline when required.
- Provides legal assistance in other areas as needed.
- Counsel and advise on legal aspects of regulatory and quality issues.
